Terms of Purchase & License Agreement

1. Acceptance of Terms
By purchasing, downloading, or using the
Estate Agent Protocol ("the Asset"), you agree to
be bound by these Terms. If you do not agree to these terms, do not
purchase or use the Asset. These Terms constitute a binding legal
agreement between you ("the Licensee") and
HighSyntax ("the Licensor").
2. Nature of the Product
The Asset is a downloadable digital zip file containing proprietary
prompt logic, license, and instructional text designed for use with
third-party Large Language Models (LLMs). You acknowledge that:

This is a text-based protocol, not executable software
application.

No cloud services, servers, or ongoing maintenance are provided by
HighSyntax.

You are responsible for obtaining access to compatible third-party
AI models (e.g., ChatGPT, Claude, Gemini, Deepseek).
3. Grant of License
Upon payment of the one-time license fee, HighSyntax grants you a
non-exclusive, non-transferable, perpetual, worldwide
license
to use Version 1.4 of the Asset, subject to the
following strict conditions:
3.1 Authorized Use

Single User: You may store and utilize the Asset on local LLMs installed on
devices you solely operate, or on third-party AI accounts (e.g.,
ChatGPT, Claude) that you own.

Commercial Rights to Output: You own 100% of the text, narratives, and descriptions
generated by the Protocol. You may use this output for real estate
listings, marketing materials, and client communications
royalty-free.

Modification: You may edit the Protocol code for your own personal workflow.
3.2 Prohibited Use

No Resale or Redistribution: You may not sell, rent, lease, sub-license, or distribute the
Asset file itself to any third party.

No Team Sharing: You may not host the Asset on a shared company server,
Intranet, or Slack channel for use by a team or agency. Each user
requires a separate license.

No Reverse Engineering for Resale: You may not reverse-engineer the logic of the Protocol to build
a competing "Real Estate AI" product or template.
3.3 Product Versioning

This license grants access specifically to
Version 1.4. HighSyntax is under no obligation to
provide free updates to future major releases (e.g., Version 2.0).

Future iterations may be sold as separate products and they will
have their own legal terms.
4. Intellectual Property
The structure, logic, syntax, archetypes, ban list contained within
the Protocol remain the sole intellectual property of HighSyntax.
The purchase of a license does not transfer copyright ownership of
the code to you.
5. Disclaimer of Warranties & Model Dependency
"As Is" Basis The Asset is provided "as is" without
warranties of any kind. HighSyntax makes no guarantees regarding the
specific quality, accuracy, or legal compliance of the real estate
descriptions generated by the Asset.

AI Model Variance: The quality of the output is dependent on the capabilities of
the local or third-party Large Language Model (LLM, e.g., OpenAI
GPT-5, Claude 4.5 Sonnet, Google Gemini 3.0, DeepSeek R2, or any
other AI model, free or paid) you use. You acknowledge that the
models can hallucinate, invent non-existent property specs, or
produce different results in varying degrees of quality.
HighSyntax is not responsible for poor outputs generated by the
AI.

Non-Deterministic Nature: Due to the probabilistic nature of AI, HighSyntax does not
guarantee the consistency of the interview process or the output.
The Protocol functions as a guide, not a hard-coded script.

No Business Results Guarantee: HighSyntax makes no representations or warranties that use of
the Asset will increase your property sales rates, lead
conversion, client engagement, revenue, or any other business
outcome. Results depend on numerous factors outside the Protocol's
control, including but not limited to: market conditions, property
quality, pricing strategy, agent experience, and competitive
landscape.
6. User Responsibility
You acknowledge that AI models can hallucinate or generate factually
incorrect statements.
You agree to act as the "Editor-in-Chief" and are solely
responsible for verifying the accuracy of the generated listing
narrative before publication.
HighSyntax is not liable for misrepresentations, Fair Housing
violations, or factual errors contained in your final listings.
7. Payment and Refunds

One-Time Payment: Access to the Asset requires a one-time license fee payment
processed securely via our third-party payment processor (Stripe).
We do not store financial data.

All Sales Final: Due to the nature of downloadable digital goods, which cannot
be "returned," all sales are final. HighSyntax does not offer
refunds, exchanges, or cancellations with the sole exception of:
- Duplicate or erroneous charges (double billing)

Technical failure preventing download within 48 hours of
purchase
8. Limitation of Liability
To the maximum extent permitted by law, HighSyntax shall not be
liable for any direct, indirect, incidental, or consequential
damages arising from the use of the Asset, including but not limited
to
loss of data, loss of revenue, loss of profits, loss of business
opportunities, loss of real estate sales,
or errors in listing descriptions.
You acknowledge that the Protocol is a writing tool, not a
business consulting service, and that HighSyntax has made no
representations about business results.
In no event shall HighSyntax's total liability exceed the amount
paid by you for the Asset.
9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with
the laws of Hong Kong Special Administrative Region (HKSAR). Any
disputes shall be subject to the exclusive jurisdiction of the
courts of HKSAR.
10. Severability
If any provision of these Terms is found to be unenforceable or
invalid, that provision shall be limited or eliminated to the
minimum extent necessary while preserving the remaining provisions.
